1. Introduction, Acceptance and Definitions

These User Terms and Conditions (“Terms”) govern the access to and use of the BUXE platform, including any mobile application, website, booking interface, dashboard, support channel, communication tool, or related service made available by BUXE (“BUXE”, “Company”, “we”, “us”, “our”).

By creating an account, requesting a driver-partner, using the platform, or otherwise proceeding with a booking, the user identified on the relevant account or booking (“User”, “Customer”, “you”, “your”) agrees to be legally bound by these Terms, together with any policies, notices, operational requirements, or safety protocols referenced in them.

In these Terms, “Driver-Partner” means an independent driver-partner made available through the BUXE platform; “Trip” means an approved service engagement arranged through BUXE under which a Driver-Partner is assigned to operate a User’s vehicle; “Vehicle” means the motor vehicle provided by, or under the control of, the User for purposes of the Trip; “Applicable Law” means the laws of the Federal Republic of Nigeria, relevant state traffic and transport requirements, the Nigeria Data Protection Act 2023, and any binding subsidiary instruments, directives, or lawful requirements applicable to the services.

If you do not agree to these Terms, you must not access or use the platform or request any Trip.

2. Nature of Service and Platform Role

BUXE is a technology-enabled coordination platform that facilitates access to vetted independent Driver-Partners for the purpose of operating user-owned or user-controlled vehicles. BUXE does not hold itself out as the owner of the Vehicle, the employer of the Driver-Partner, or the provider of conventional taxi transportation services.

• BUXE does not:

• own, lease, or supply the Vehicle used for a Trip;

• act as the insurer of the User, the Vehicle, or the Driver-Partner unless expressly stated in a separate written insurance arrangement;

• guarantee uninterrupted service availability, a specific driver, a specific arrival time, or a particular commercial outcome;

• assume automatic legal liability for every accident, delay, cancellation, breakdown, dispute, or loss associated with a Trip.

The User acknowledges that the BUXE model depends on the User making available a lawful, roadworthy, and sufficiently insured vehicle, and on the Driver-Partner performing services as an independent service provider subject to BUXE’s standards, policies, and review processes.

3. Eligibility, Account Registration and Booking Authority

To use the platform, you must be at least eighteen (18) years old and possess the legal capacity to enter into binding contracts. Where a booking is made on behalf of another person, a family member, a corporate entity, or an organisation, the person placing the booking warrants that he or she has actual authority to do so and to bind the relevant principal to these Terms.

You must provide accurate, complete, and current information at account creation, booking, support interaction, and claim or complaint submission stages. You must keep registered contact details, payment details, emergency details where requested, and any other material information reasonably required by BUXE up to date.

BUXE may reject account registration, deny a booking, request additional verification, place an account on hold, or suspend or terminate access where there is a reasonable concern relating to identity, payment integrity, safety, fraud, legal compliance, misuse of the platform, or inability to satisfy BUXE’s trust and safety requirements.

4. User Warranties and Continuing Obligations

As a condition of using the platform and requesting Trips, the User represents, warrants, and undertakes on a continuing basis that all information provided to BUXE is true, complete, current, and not misleading in any material respect.

The User further represents, warrants, and undertakes that:

• the Vehicle is lawfully owned by the User or is otherwise lawfully under the User’s control and available for the requested Trip;

• the Vehicle is roadworthy, reasonably safe to operate, has sufficient fuel or charge for the intended Trip, and is not affected by a known defect that could compromise safety or service delivery;

• the Vehicle is covered by the minimum legally required motor insurance and any other cover the User elects to maintain;

• the User will not request any illegal, unsafe, abusive, discriminatory, or improper act from the Driver-Partner;

• the User will promptly disclose any material fact relating to the Vehicle, Trip conditions, special route risks, security risks, or known hazards that may reasonably affect safe Trip performance.

Any material misrepresentation, document irregularity, payment issue, attempt to use an unsafe vehicle, or misuse of the platform may result in refusal of service, cancellation, suspension, or termination.

5. Trip Booking, Matching and Execution

A Trip request is an invitation to arrange service and does not become final until BUXE confirms that a Driver-Partner has been allocated or otherwise confirms the booking through an approved communication channel. Estimated times of arrival, durations, routes, or availability indications are estimates only and may change due to traffic, weather, operational conditions, security issues, or other factors.

The User must ensure that the Vehicle and any necessary keys, access devices, instructions, and relevant trip details are made available at the pickup point or in the manner required for service commencement. BUXE and the Driver-Partner may decline to start or continue a Trip where the Vehicle appears unsafe, the environment is insecure, the booking details are materially inaccurate, or the User or any passenger behaves in a threatening, abusive, intoxicated, or unlawful manner.

The User shall not require the Driver-Partner to exceed legal speed limits, violate traffic laws, operate a visibly unsafe vehicle, carry out a criminal or prohibited errand, transport unauthorised or hazardous items, or continue a Trip in circumstances that materially endanger life, safety, property, or compliance.

6. Pricing, Payments, Cancellations and Refunds

The User agrees to pay all fees, charges, service fees, waiting charges, cancellation charges, or other valid amounts communicated by BUXE for Trips booked or completed through the platform. Pricing may vary based on distance, duration, timing, location, waiting time, demand conditions, operational adjustments, or other legitimate commercial inputs applied by BUXE.

BUXE may place temporary authorisations, pre-authorisations, payment holds, or settlement adjustments on a payment method where reasonably necessary to secure payment integrity, prevent fraud, process reversals, or resolve a dispute, chargeback, refund, duplicate charge, or pricing anomaly.

The User may cancel a Trip, but cancellation fees or restrictions may apply depending on the stage of the booking, the dispatch status of the Driver-Partner, and BUXE’s applicable policy. BUXE may also cancel, reassign, defer, or refuse a Trip where there is a safety concern, operational limitation, legal concern, fraud concern, inaccurate information, or platform misuse.

Refunds, credits, or goodwill adjustments may be granted by BUXE in appropriate cases, but no refund, credit, or service recovery gesture shall be interpreted as an admission of legal liability unless BUXE expressly states otherwise in writing.

7. Vehicle Condition, Documents and Handover Requirements

The User remains solely responsible for the condition, legality, and suitability of the Vehicle for any requested Trip. This includes responsibility for roadworthiness, tyres, brakes, lights, mirrors, windscreen condition, fluid levels, battery condition, fuel sufficiency, warning lights, statutory documents, plate legitimacy, proof of ownership or lawful use where required, and the existence of minimum legally required motor insurance.

The User acknowledges that the Driver-Partner is entitled to refuse to commence or continue a Trip where the Vehicle appears unsafe, mechanically compromised, insufficiently fuelled or charged, unlawful to operate, or otherwise unsuitable for the requested service. In such circumstances, BUXE may classify the matter as a user-side cancellation, incomplete service event, or safety refusal, depending on the facts.

Unless expressly agreed otherwise by BUXE, the User is responsible for ensuring that the Vehicle handover process is orderly and secure, and that any instructions relating to alarms, immobilisers, starting procedures, parking constraints, or route restrictions are disclosed clearly and accurately.

8. Insurance Position

The User acknowledges and agrees that BUXE is not an insurer and does not provide insurance cover for the Vehicle, the User, passengers, or the Driver-Partner merely by virtue of arranging or facilitating a Trip. If any optional insurance or protection product is made available by BUXE in future, such cover shall be governed exclusively by the separate policy wording, endorsement, or product terms issued by the relevant licensed insurer or authorised provider.

The User is solely responsible for maintaining at least the minimum legally required motor insurance for the Vehicle and for understanding the scope, exclusions, conditions, and adequacy of any policy maintained by the User. BUXE may request evidence of insurance or lawful use as a condition of service, and may decline or cancel a Trip where such evidence is not provided or appears invalid, inconsistent, or unsatisfactory.

The User further acknowledges that the existence of motor insurance does not transfer to BUXE any insurer’s obligations or claims payment responsibilities, and that BUXE’s assistance in gathering information, coordinating communications, or facilitating incident reporting does not amount to underwriting, claims assumption, or acceptance of responsibility for indemnity.

9. Risk Allocation and Limitation of Assumed Responsibility

The BUXE model operates on a structured allocation of risk among the User, the Driver-Partner, BUXE, and any relevant third party. The User remains the primary risk bearer for the Vehicle’s legality, roadworthiness, baseline insurability, pre-existing condition, and lawful availability for service. The Driver-Partner remains primarily responsible for his or her own negligent, reckless, unlawful, abusive, fraudulent, or unauthorised conduct. BUXE remains responsible only for its own direct acts and omissions to the extent proved in accordance with Applicable Law and these Terms.

For clarity, BUXE does not assume automatic responsibility for:

• vehicle wear and tear, pre-existing defects, latent defects, mechanical weakness, or breakdown not directly caused by proven negligence of the Driver-Partner;

• delays or disruptions caused by traffic, weather, flooding, police checkpoints, route changes, protests, roadblocks, force majeure events, or third-party acts;

• loss caused by another road user, criminal actor, or external third party unless directly attributable to BUXE’s own wrongful conduct;

• indirect, consequential, reputational, speculative, or business-interruption losses arising from a Trip or from cancellation, suspension, or investigation activity;

• any claim merely because BUXE coordinated the booking, supported communications, or assisted with evidence gathering.

Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by Applicable Law. Otherwise, any liability of BUXE shall be limited to the fullest extent permitted by Applicable Law.

10. Accidents, Incidents, Breakdown, Security Threats and Emergencies

Safety takes priority over Trip completion. In the event of an accident, collision, injury event, security threat, theft, attempted theft, assault, harassment, mechanical breakdown, warning-light event, or any other material incident, the User and any passenger must prioritise life, safety, and compliance with law, including contacting emergency services, police, FRSC, or other competent authorities where reasonably necessary.

The User shall notify BUXE as soon as reasonably practicable after becoming aware of any material incident and shall provide accurate factual information, including trip details, photographs, videos where safe to obtain, witness information, police or authority references, repair estimates where appropriate, and any other information reasonably requested by BUXE or a relevant insurer for incident review.

The User shall not make false allegations, conceal damage, tamper with evidence, pressure the Driver-Partner into private settlement, publish incomplete allegations as fact, or independently commit BUXE to any liability position. BUXE reserves the right to place a booking, account, or payout under review pending factual investigation.

Where the Vehicle becomes unsafe, immobilised, or unfit for continued travel, the User acknowledges that the Driver-Partner may stop the Vehicle safely, await further guidance, or terminate the Trip where continued operation would be unsafe or unlawful.

11. Claims Handling, Evidence and Complaint Windows

BUXE may provide a claims-coordination and incident-review function for operational purposes, but BUXE does not thereby become the insurer, adjuster, or guaranteed payer of a claim. BUXE may gather facts, request records, preserve platform logs, coordinate communications, and refer parties to appropriate channels, including insurers, workshops, legal representatives, or competent authorities where appropriate.

All claims, complaints, or damage allegations must be raised within the applicable complaint window communicated by BUXE or, where none is specified, within a reasonable time after discovery. Delay in reporting may affect the credibility, reviewability, or recoverability of a claim, especially where evidence has not been preserved.

The User agrees that fault will not be presumed merely because a Trip occurred. BUXE may require evidence before making any operational decision on refunds, charge reversals, deactivation, holds, reimbursements, or other outcomes. Expert or mechanic review may be required where a mechanical issue, clutch issue, gearbox issue, overheating event, suspension issue, tyre or rim damage, or similar technical issue is disputed.

The User shall cooperate fully and in good faith with any review, insurer inquiry, audit, support request, law-enforcement request, or dispute process. Failure to cooperate, dishonesty, or repeated abuse of the claims process may result in claim denial, account restriction, suspension, or termination.

Incident classification and minimum reporting obligations

12. Driver Conduct, User Conduct and Safety Rules

BUXE requires safe, respectful, and professional conduct from both Users and Driver-Partners. The User shall not harass, abuse, threaten, intimidate, discriminate against, exploit, or mislead any Driver-Partner, support agent, or third party.

The User shall not request cash side-payments, off-platform arrangements designed to bypass BUXE’s controls, unlawful errands, dangerous driving, unauthorised passenger carriage, or misuse of a Driver-Partner’s personal information. Similarly, the User shall not attempt to induce the Driver-Partner to ignore BUXE policy, falsify a record, conceal an incident, or violate Applicable Law.

Where the User reasonably believes that a Driver-Partner has engaged in unsafe, abusive, fraudulent, or seriously unprofessional conduct, the User should report the matter promptly through official BUXE channels. BUXE may take protective action, including temporary hold, reassignment, investigation, or deactivation, before final conclusions are reached where safety requires immediate intervention.

13. Trip Sharing, Communications and Safety Features

Where BUXE offers a trip-sharing or trip-visibility feature and the User elects to share Trip details with a friend, family member, employer, or other third party, the User authorises BUXE to communicate limited Trip information for visibility and safety purposes. Such information may include the User’s name, pickup and destination details, Trip start or end status, time stamps, and limited driver or vehicle-identifying information reasonably needed to support visibility and safety.

The User is responsible for selecting appropriate recipients and acknowledges that BUXE is not liable for the acts, omissions, misuse, or onward disclosure by any recipient chosen by the User. The User further acknowledges that communication networks may fail, delay, or distort message delivery, and that BUXE does not guarantee real-time delivery of safety messages.

BUXE may send service messages, one-time passwords, incident alerts, account notices, policy updates, reminders, and legally required notices through in-app messages, email, SMS, WhatsApp, calls, or other reasonable communication channels associated with the account.

14. Lost Property and Personal Belongings

The User remains responsible for personal items, documents, devices, cash, or valuables left in, placed within, or transported in the Vehicle, subject always to any proven intentional theft, dishonesty, or unauthorised interference by a responsible party. BUXE may assist with communication and return coordination for lost property, but does not guarantee recovery, custody, or compensation for lost items.

Where property is found, the User and Driver-Partner must handle the matter through official BUXE channels and must not inspect, use, conceal, or exploit such property. BUXE may apply handling charges or administrative processes where return logistics require time or expense.

15. Privacy, Data Protection and Records

BUXE may collect, use, store, disclose, and otherwise process personal data to the extent reasonably necessary to operate the platform, verify identity, coordinate Trips, monitor safety, handle complaints and incidents, process payments, maintain records, comply with Applicable Law, and protect legitimate business and safety interests. Such processing shall be carried out in accordance with Applicable Law, including the Nigeria Data Protection Act 2023, and BUXE’s applicable privacy notice or privacy practices.

The User acknowledges that certain categories of data may be shared with Driver-Partners, payment processors, service providers, law-enforcement bodies, emergency responders, insurers, advisers, or competent authorities where reasonably necessary for service delivery, incident handling, safety, fraud prevention, compliance, legal defence, or lawful requests.

The User must not misuse any personal data obtained through the platform, including driver phone numbers, names, routes, or account details, and shall not record, publish, distribute, or exploit such information except as lawfully permitted and genuinely necessary for service use or complaint reporting.

16. Fraud, Misuse and Prohibited Conduct

The User shall not engage in fraud, attempted fraud, identity misuse, payment abuse, chargeback abuse, false reporting, staged incident creation, fabricated vehicle damage claims, forged documents, fake receipts, collusion with a Driver-Partner or any third party, unauthorised account access, scraping, reverse engineering, unlawful interference with platform systems, or any other conduct that may compromise safety, trust, financial integrity, or legal compliance.

Without limiting any other right or remedy, BUXE may investigate suspicious activity, place transactions or accounts on hold, reverse credits, reject claims, withhold access, report suspected crime to competent authorities, and pursue civil or criminal remedies where appropriate.

17. Suspension, Restriction and Termination

BUXE may suspend, restrict, place on protective hold, or permanently terminate a User account or booking access where reasonably necessary to protect safety, property, the platform, Driver-Partners, the public, regulators, or BUXE’s legitimate business interests. Protective action may be taken before a full investigation is concluded where there is a credible allegation of violence, harassment, fraud, theft, serious abuse, unsafe behaviour, identity concern, or any other high-risk issue.

Grounds for action include, without limitation, use of an unsafe or unlawful Vehicle, material misrepresentation, abuse of support or claims channels, payment default, chargeback abuse, threatening conduct, discriminatory conduct, privacy breach, attempted off-platform diversion, repeated cancellations, repeated unreliability, refusal to cooperate in an investigation, or any conduct that causes a Driver-Partner or BUXE reasonably to conclude that continued platform access would create unacceptable safety, legal, or reputational risk.

Termination or suspension does not prevent BUXE from pursuing any accrued right, charge, cost recovery, indemnity, legal claim, or reporting obligation arising before or after the date of such action.

18. Limitation of Liability, Indemnity and Remedies

To the fullest extent permitted by Applicable Law, BUXE shall not be liable for any indirect, consequential, incidental, special, exemplary, punitive, or business-interruption loss, or for loss of revenue, profit, goodwill, opportunity, expected savings, data, or reputation arising out of or in connection with the use of the platform or a Trip.

To the fullest extent permitted by Applicable Law, BUXE’s aggregate liability arising out of or in connection with a specific Trip or related event shall be limited to the lower of: (i) the total BUXE service fees actually retained by BUXE in respect of the affected Trip; or (ii) the amount BUXE expressly agrees in writing to pay in final settlement of the relevant matter; provided that nothing in this paragraph limits liability where such limitation is prohibited by Applicable Law.

The User agrees to indemnify and hold harmless BUXE, its officers, employees, representatives, contractors, and agents from and against losses, claims, costs, damages, liabilities, actions, proceedings, fines, penalties, and expenses arising from the User’s breach of these Terms, misuse of the platform, unlawful or improper conduct, unsafe Vehicle condition, misrepresentation, payment default, data misuse, or violation of Applicable Law, except to the extent directly caused by BUXE’s own proven gross negligence or wilful misconduct.

19. Notices, Amendments, Governing Law and Dispute Resolution

BUXE may update, amend, or replace these Terms from time to time to reflect changes in law, operations, pricing structure, risk management, technology, platform design, or commercial policy. Notice may be provided through the app, website, dashboard, email, WhatsApp, SMS, or any other reasonable communication channel linked to the User’s account. Continued use of the platform after reasonable notice of an update constitutes acceptance of the updated Terms, except where Applicable Law requires a different form of acceptance.

Any notice to BUXE concerning legal claims, material disputes, formal complaints, or requests under these Terms shall be sent through the official contact details or legal notice channel designated by BUXE from time to time.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The parties shall first seek to resolve disputes in good faith through internal escalation and management review. If resolution is not achieved, the dispute may be submitted to a court of competent jurisdiction in Nigeria unless the parties agree in writing to mediation or arbitration.

20. Electronic Acceptance and Entire Agreement

The User’s electronic acceptance, account registration, booking submission, or continued use of the platform after presentation of these Terms shall constitute valid and binding acceptance of them to the fullest extent permitted by Applicable Law.

These Terms, together with any incorporated policies, booking terms, privacy notices, safety policies, and legally required notices expressly referenced by BUXE, constitute the entire agreement between the User and BUXE in relation to the subject matter hereof and supersede prior inconsistent communications relating to such subject matter, save for any express separate written agreement signed by authorised representatives of BUXE.

User acknowledgement: By proceeding to use BUXE, you confirm that you understand that BUXE is a platform coordinating access to independent Driver-Partners for user-owned vehicles, that BUXE is not automatically the insurer or transport operator for your Trip, and that vehicle condition, legal use, minimum required motor insurance, truthful disclosure, and lawful Trip use remain core user responsibilities.
